Buyer Representation

Buy the right business, on terms that close.

Some buyers come to EDGE with a business already in hand. Others are starting the search. Either way, we work on your side of the table: valuation, deal structure, financing strategy, the offer, due diligence, and closing.

Two Ways to Work With EDGE

Start from a deal in hand, or start from a blank page.

Fastest Path to Closing

You Found the Business

Single Transaction Representation

Finding the business is the visible part. The hard part is everything after: what it is actually worth, how to structure an offer a lender will approve, what to verify in due diligence, and how to keep the deal alive to closing. EDGE steps in at the deal and takes you through the finish line.

  • Engage deal by deal, and stay non-exclusive while you search
  • Valuation and financial analysis of the specific business before you offer
  • An offer structured against real financing requirements, not hope
  • Negotiation, due diligence, and closing coordination
  • Every offer reviewed by our Managing Director before it goes out
Talk About Your Deal

The Buyer's Journey

Twelve steps from idea to ownership.

This is the path every acquisition follows. EDGE has walked it many times. You will walk it once, with an advisor beside you at every step.

Search Thesis

Define what you are looking for: industry, size, geography, and what you bring to the table.

Search

Source opportunities from listings, networks, and direct outreach, screened against your thesis.

Sign the NDA

Confidentiality unlocks the real information behind a blind listing.

Review the CIM

The confidential information memorandum: the business's full financial and operational story.

Valuation

EDGE models what the business is actually worth, which is not always what it is priced at.

Meet the Seller

Structured meetings that build trust and surface the questions that matter.

Offer to Purchase

A financeable, defensible offer, prepared and reviewed before it goes out.

Counteroffer

Negotiation managed with momentum and discipline, not emotion.

Accepted Offer

Terms lock and the clock starts. EDGE keeps every party moving.

Due Diligence

Verify everything: financials, taxes, contracts, employees, operations.

Closing

Financing, legal, and logistics coordinated to the finish line.

Post-Close

Transition support and growth planning for the business you now own.

Why Representation Matters

The higher offer does not always win. The stronger offer does.

Sellers accept offers that can actually close. A financeable structure, verified numbers, and a credible, prepared buyer regularly beat a bigger number that falls apart in diligence.

Financing that gets approved

SBA 7(a) and seller financing structured against real lender requirements, with debt service stress-tested before you ever make the offer.

A valuation you can act on

Normalized financials and market-based analysis on every target, so you know the difference between the asking price and the right price.

Nothing goes out blind

Every letter of intent and offer is reviewed by our Managing Director, whose background spans commercial SBA lending and private equity, with legal counsel on staff.

Momentum to the close

Deals die from delay. EDGE manages the sequence, the paperwork, and the parties so your acquisition keeps moving.

Buyer Questions

Asked on almost every first call.

Do I need to have found a business already?

No. If you have one, we engage on that deal and move fast. If you do not, we build a search thesis and find candidates together. Both paths end at the same place: a closed acquisition.

I have never bought a business before. Is that a problem?

Most of our buyers are doing this for the first time. That is exactly why representation exists. We explain every step, run the analysis, and make sure you understand what you are signing before you sign it.

How does financing actually work?

Most acquisitions in our market are financed with an SBA 7(a) loan, often combined with seller financing and your own equity injection. We model the structure early, stress-test the debt service, and connect you with lending relationships suited to your deal.

How long does an acquisition take?

It depends on the deal, the financing, and the diligence findings, so we do not promise timelines. What we do promise is process: a managed sequence with no avoidable delays, because deal momentum is one of the biggest factors in whether a deal closes at all.
