Our Terms, In Plain Language
No upfront fee. We are paid when your business sells.
These are the standard terms of the EDGE Exclusive Marketing Agreement. We publish them because a seller deciding who to trust with their exit should not have to pry the basics out of anyone.
Success fee, by transaction value

The fee applies tier by tier and is calculated on Total Transaction Value: all consideration paid or payable in the deal, including cash, seller financing, assumed debt, earnouts, and similar economic benefits, not just the cash at closing.
Upfront marketing fee
Preparation, valuation, CIM, and marketing are carried by EDGE. We earn our fee when your sale closes.
Exclusive term
A focused, exclusive engagement, with a 2-year protection period after expiration or termination.
Minimum success fee
Applies when the tiered calculation would fall below it, so every engagement gets full effort regardless of size.
Minimum seller earnings
We represent businesses with at least $100,000 in seller discretionary earnings. Exceptions require firm approval.
